Breach of contract disputes can – and often do – occur in virtually any type of business transaction and/or relationship, regardless of size or industry. As a business owner, operator and/or employee it is important to understand the basics of what constitutes a breach of contract dispute, as well as how to avoid them.
Breach of Contract Disputes

A breach of contract occurs when one party to the contract fails to honor its obligations, as agreed upon in the agreement. A contract, which may be oral but typically, is set forth in a written document, details the purpose, terms and conditions of the agreement and the obligations and responsibilities of the parties to the contract.
Avoiding Breach of Contract Disputes
Breach of contract disputes can and do arise often, regardless of the relationship of the parties or the simplicity of the agreement. One of the best ways to temper the odds of a dispute arising, is to ensure, that the terms of the agreement are as detailed, specific, clear and unambiguous as possible in a written document. This reduces the odds that one or the other party can claim any ambiguity or confusion over their respective responsibilities, obligations or any other terms of the contract. A written agreement further reduces the odds of a dispute arising regarding the interpretation of the agreements’ terms. It is also important for the parties each to have an attorney representing his, her or its interests, draft, revise and/or review the contract prior to its signing. In addition, the contract can set forth the details of how a dispute concerning the agreement can be resolved whether by mediation, arbitration or lawsuit. In fact, the contract can even specify where to commence such a mediation, arbitration or lawsuit.
What to Do When A Breach of Contract Dispute Occurs
If a breach of contract dispute arises, the parties can and should attempt to resolve the issues and reach a mutually agreeable solution, amicably and cooperatively, if possible. If that fails, one can turn to mediation or arbitration to resolve the dispute without commencing a lawsuit. If that too fails, it may be necessary to commence a lawsuit to enforce one’s legal rights and remedies.
